Florida Registered Agent: Requirements and How to Choose One

Every Florida LLC must have a Florida registered agent. It’s required by Florida law, and your Articles of Organization won’t be accepted without one. The agent needs a Florida street address and has to be there during business hours to accept legal papers and official mail for your LLC.

You can be your own agent or pay a service. For most people, the deciding question is whether they’re comfortable putting their own address on the public record.

What does a registered agent do?

A registered agent (sometimes called a “statutory agent” or “resident agent”) is the person or company designated to receive official legal and government documents for your LLC. That includes service of process if your LLC is sued, official state correspondence, annual report reminders, tax notices from the Florida Department of Revenue and other legal notifications.

The job sounds passive, but the stakes aren’t. If a lawsuit notice goes unanswered, you can lose the case by default. If state notices go unread, your LLC can end up administratively dissolved.

What are the Florida registered agent requirements?

Requirement Details
Physical address A street address in Florida (no P.O. boxes)
Availability Available during normal business hours
Consent Must consent to serve in this role
Public record Listed publicly on Sunbiz.org

The agent can be an individual who’s at least 18 or a business entity. Either way, someone has to be physically present at that address to accept documents, and the address becomes part of the public record.

Can you be your own registered agent in Florida?

Yes, as long as you have a physical Florida street address (not a P.O. box), you’re there during standard business hours to receive documents, and you’re fine with that address being public.

The upside is real but small: no annual fee, and documents come straight to you.

The downsides add up. If you work from home, your home address goes on Sunbiz for anyone to see. You need to be available during business hours, so a vacation needs someone covering for you. If you’re sued, a process server can show up in front of your customers or family. And every deadline is on you.

When is a professional registered agent worth it?

We’d use a professional agent if any of these describe you:

  • You run the business from home and want your address off the public record
  • You travel or aren’t reliably around during business hours
  • You’re forming a Florida LLC from outside Florida
  • You’d rather not be served with legal papers where you work or live
  • You want compliance reminders and document management handled for you

That covers a lot of home-based and online businesses, consultants and freelancers, real estate investors and non-Florida residents.

How much does a Florida registered agent cost?

Option Cost
Be your own agent $0 (but it uses your address and time)
Basic services $49-99/year
Premium services $100-300/year
IncCraft Free first year with any formation package

The price difference mostly comes from extras: document scanning and forwarding, compliance alerts, an online dashboard, support for registrations in other states and the quality of customer support.

What should you look for in a registered agent service?

The basics are non-negotiable: a physical Florida address, someone there during business hours, prompt notification when documents arrive, and secure handling of sensitive legal papers.

The extras that make a difference day to day are an online dashboard, scanned PDFs instead of waiting for mail, annual report reminders and mail forwarding when you need the physical copy.

Walk away from any service that uses a P.O. box (it’s not allowed), has no physical presence in Florida, has reviews complaining about missed documents, or has no system for urgent legal notices.

How do you appoint a registered agent?

You name your registered agent on your Articles of Organization when you form the LLC. You’ll need the agent’s name, their Florida street address, and their signature or consent.

How do you change your registered agent?

You can change it anytime by filing a Statement of Change of Registered Agent with the Florida Division of Corporations:

  1. Go to the filing portal on Sunbiz.org.
  2. Find your LLC by name or document number.
  3. File the Statement of Change with the new agent’s information.
  4. Pay the $25 filing fee.
  5. Check the record. The new agent usually appears within 1-2 business days.

Get the new agent’s consent before you file. They have to agree to the appointment.

Is a registered agent the same as a registered office?

They’re related but not the same. The registered agent is the person or company that receives documents. The registered office is the physical address where that agent can be found. In most cases, appointing an agent also sets your registered office at their address.

What if you don’t have a registered agent?

Without one, your LLC formation is rejected and you can’t legally operate the LLC.

Problems can also come later, when an agent resigns or the listing goes stale. Then your LLC may be administratively dissolved, you may miss legal notices, and default judgments can be entered against you in lawsuits. Getting back in good standing means filing for reinstatement, with extra fees and paperwork. If your agent resigns, appoint a new one right away.
