Filing Your Florida LLC Yourself vs Using a Service

You can file a Florida LLC yourself on Sunbiz.org for the $125 state fee, and the filing itself takes about half an hour. What takes longer is everything around it: the registered agent, the operating agreement, the EIN and the annual deadlines. Count those and DIY runs 4-5 hours, while a service that charges nothing on top of the state fee gets you to the same place in about 30 minutes.

If you can find a service that includes the extras for $0 plus the state fee, we’d use it. If you’d rather keep full control, filing yourself is entirely doable. Here’s what each path involves.

Should you file a Florida LLC yourself or use a service?

Factor DIY (File Yourself) Formation Service
State filing fee $125 $125
Service fee $0 $0-$39 (many are free)
Total cost $125 $125-$164
Registered agent You (or pay separately) Usually included
Operating agreement Create yourself Template provided
EIN filing Do yourself (free) Usually included
Time investment 2-4 hours 15-30 minutes
Error risk Higher Lower

What does filing yourself actually involve?

1. Pick and check the name

The name must include “LLC,” “L.L.C.” or “Limited Liability Company.” It can’t be identical to an existing Florida business name, and it can’t imply activities you aren’t licensed for, such as banking or insurance. Search Sunbiz.org’s business name search for exact matches and close variations. Plan on 15-30 minutes.

2. Decide who your registered agent is

Every Florida LLC needs a registered agent at a Florida address, available during business hours to accept legal documents. You can serve yourself for free, ask a friend or family member (also free, but it’s a real favor), or hire a registered agent service for $49-$249 a year.

Serving yourself has costs that don’t show up on a receipt. Your address goes on the public record, you need to be there 9am-5pm on business days, and missing a lawsuit or legal notice can have serious consequences. Most owners aren’t parked at one Florida address all day, which is why we think a registered agent service ($49-$125 a year) is worth it if you’re filing yourself.

3. File the Articles of Organization

On Sunbiz.org you’ll enter:

  1. The LLC name
  2. Principal address
  3. Mailing address
  4. Registered agent name and address
  5. Manager or member names and addresses
  6. An effective date (optional, if you want a future date)
  7. Payment of $125

At least one manager or member must be listed, and those names and addresses become public. This step takes 20-30 minutes. Read every field before you submit, because Sunbiz rejects incomplete or incorrect filings, and each rejection means delays and possibly more fees.

4. Write an operating agreement

Florida doesn’t legally require one, but you’ll want it to open a business bank account, set ownership percentages and management rules, and support your liability protection. Doing it yourself means finding a template, tailoring it to your LLC and making sure it fits Florida law. Budget 1-3 hours.

5. Get an EIN

The EIN is free from the IRS and you’ll need it to open a bank account, hire employees and file business taxes. Apply online at IRS.gov and you get the number immediately, in about 10-15 minutes. Take care on the responsible party, the entity classification and the exact legal name. Mistakes there can take weeks to sort out with the IRS.

6. Keep up with compliance

After formation, you file the annual report by May 1 ($138.75), keep a registered agent, and keep your operating agreement updated. Miss the annual report and you owe a $400 late fee. Skip it entirely and the state can administratively dissolve your LLC. When you file yourself, nobody reminds you.

How long does DIY take compared with a service?

Task DIY time With a service
Name search and selection 30 min –
Registered agent decision 15 min –
Articles of Organization 30 min –
Operating agreement 2 hours 5 min to sign
EIN application 15 min –
Research and learning 1 hour –
Providing information – 10 min
Reviewing documents – 10 min
Total 4-5 hours 25-30 minutes

What does each option really cost?

Item True DIY DIY plus registered agent service All-inclusive service
State filing fee $125 $125 $125
Service fee $0 $0 $0
Registered agent $0 (you) $49-$125/year $0 (included)
Operating agreement $0 (you write it) $0-$50 (template) $0 (included)
EIN $0 $0 $0 (included)
Total, year 1 $125 $175-$300 $125

True DIY ties the all-inclusive service on price, but it costs 4-5 hours, puts your home address on the public record, and leaves every deadline to you.

Put a value on those hours and the gap gets wider. At $50 an hour, four hours of DIY is $200 of your time, so the effective cost is $325 against $125 for a service that charges $0 on top of the state fee.

Not every service is all-inclusive. Basic packages ($0-$39) typically include a name check, filing the Articles, a first year of registered agent service, an operating agreement template, EIN help and compliance reminders. Premium packages ($149-$299) add expedited processing, a banking resolution, membership certificates and priority support.

What do DIY filers most often get wrong?

Using a home address. File yourself and your home address becomes public record unless you have a separate business address. A formation service typically uses its own address, keeping yours private.

Skipping the operating agreement. Because Florida doesn’t require it, many DIY filers leave it out. Then the bank asks for one and there’s no framework for running the business.

Filing the wrong thing. Some people file as a corporation or register a fictitious name when they meant to form an LLC. Fixing that costs time and money.

Missing the annual report. The May 1 deadline sneaks up, and the $400 late fee doesn’t care why.

Who should file their own LLC?

DIY fits a simple single-member LLC whose owner has the time, reads forms carefully, is comfortable with their home address being public, will track their own deadlines, and knows Florida LLC law well enough to write or judge an operating agreement.

A service fits nearly everyone else: people whose time is worth more than the savings, who want their address private, who want a prepared operating agreement, or who don’t want to track compliance themselves. That’s most business owners.

If you do file yourself, use a separate business address if you can, don’t skip the operating agreement, set calendar reminders for the May 1 annual report, and double-check every field before you hit submit.

Frequently asked questions

Is it hard to file a Florida LLC yourself?

The Sunbiz.org filing is straightforward. The operating agreement, registered agent duties and ongoing compliance take more attention, which is why most people find a service easier.

How long does DIY filing take?

The filing itself takes 20-30 minutes. Research, the operating agreement and the EIN add 3-4 hours.

What if I make a mistake filing myself?

Errors in your Articles of Organization can be corrected by filing an Amendment ($25 fee). Some errors, such as the wrong entity type, mean starting over.

Can I switch to a registered agent service later?

Yes. File a Change of Registered Agent form with Sunbiz.org ($25 fee) to switch from serving yourself to a professional service.

Do I really need an operating agreement?

Florida doesn’t legally require one, but banks typically ask for it before opening a business account. It also supports your liability protection by showing the LLC operates as a separate entity.
