How to Add a Member to a Florida LLC

To add a member to a Florida LLC, you get the existing members’ approval, sign an amended operating agreement with the new member, and sort out the tax consequences. A state filing ($25) is only needed if the new member will be a manager in a manager-managed LLC. The tax side is where people get caught, especially when a single-member LLC takes on its first partner.

What’s involved, in short

Requirement Details
Operating agreement amendment Required
State filing Required if member is manager (manager-managed)
Filing fee $25 (if state filing needed)
Tax form May need new EIN
Member approval Per operating agreement (often unanimous)

Who has to approve a new member?

Your operating agreement decides. Common rules are unanimous consent of all members, a majority (more than 50% of membership interests), a supermajority (often 66% or 75%), or, in a manager-managed LLC, the managers. It may also set contribution requirements, waiting periods or a right of first refusal.

No operating agreement? Then Florida law fills the gap, and it generally requires unanimous consent of the existing members to admit someone new.

Follow that process exactly. Skip a step and the admission can be challenged later.

What should you agree on before they join?

Four questions cover most of the deal.

How much will they own, and how do they get it? The new member can buy a percentage from existing members, put new money into the LLC (which dilutes everyone else), or earn ownership through work (sweat equity).

What are they contributing? The form of the contribution changes the tax result:

Contribution type Tax treatment
Cash Straightforward, no tax issues
Property May have tax implications (basis issues)
Services Taxable as income to new member
Promissory note Deferred contribution, complex rules

How will profits and losses be split? Pro-rata to ownership is the default choice. Special allocations, preferred returns and guaranteed payments are all possible, but the IRS requires allocations to have “substantial economic effect,” so have a tax professional review anything other than pro-rata.

What can they vote on? Day-to-day decisions, major decisions, amending the operating agreement, admitting future members. Spell it out.

How do you amend the operating agreement?

The amendment should cover the new member’s legal name and address, the admission date, their contribution, percentage, profit and loss share, voting rights and any special terms.

You can write a separate amendment that governs together with the original, or an amended and restated agreement that replaces it. We’d restate for anything beyond a small change. One clean document beats an original plus a stack of amendments.

All existing members and the new member should sign and date it, and everyone keeps a copy. Don’t rely on a verbal agreement about ownership. That’s how disputes start.

When do you need to file with the state?

Manager-managed LLC: if the new member will be a manager, file Articles of Amendment to add them as a manager.

Member-managed LLC: Florida doesn’t require a filing for changes in non-managing members. Your annual report, due May 1, will reflect current members, so update it at the next filing.

To file the amendment:

  1. Go to Sunbiz.org and select “E-Filing.”
  2. Choose “Amendment” for your LLC.
  3. Update the manager information.
  4. Pay the $25 filing fee.

Processing takes 2-3 business days, or pay $50 extra for 24-hour or $100 for same-day.

How does adding a member change your taxes?

Going from one member to two

A single-member LLC is a disregarded entity. Add a second member and it becomes a partnership for tax purposes:

Before After
Single-member LLC (disregarded entity) Multi-member LLC (partnership)
Schedule C on personal return Form 1065 partnership return
No separate return required Separate partnership return required

This change may require a new EIN. Check with the IRS or a tax professional before the new member’s admission date, not after.

Already a multi-member LLC

The same EIN and partnership return continue. The new member gets a Schedule K-1 starting from their admission date, and their share of profit or loss for the year typically runs from that date too.

LLCs taxed as an S corp

The new member has to qualify as an S corp shareholder (a US citizen or resident, among other rules). Talk to a tax professional before anyone is admitted.

What existing members should watch

If the new member gets ownership without buying it from existing members, everyone else is diluted, and it may trigger capital gains if treated as a disguised sale. Get advice before any significant change.

What if the new member is family, an investor or an employee?

A family member goes through the same process, but transferring ownership can raise gift tax issues, so document the fair market value of the interest. Investors often want preferred returns or different rights, which can mean separate classes of membership interest. Employees are sometimes brought in through equity compensation, possibly a tax-advantaged “profits interest” with a vesting schedule; get tax advice first. Another LLC or corporation can be a member too, though it complicates taxes and your operating agreement may restrict it.

After the paperwork

If the new member will sign checks, give the bank the amended operating agreement and update the signature cards. Credit cards, insurance and vendor accounts may need updating too.

Keep the member approval resolution, a receipt for the capital contribution, the amended agreement, the bank updates and any state filing confirmation together. If ownership is ever questioned, that file is your proof.

Frequently asked questions

Do I need to file with the state to add a member?

Only if the new member will be a manager in a manager-managed LLC. Otherwise, update your operating agreement and reflect the change on your next annual report.

How much does it cost to add an LLC member?

$25 if a state filing is required. Otherwise there’s no state fee, just the cost of documenting the change properly.

Can one member add a new member without the others?

Only if your operating agreement specifically allows it. Most require majority or unanimous approval.
