Florida LLC Annual Report: Filing Requirements and Deadlines

Your Florida LLC annual report is due by May 1 every year, and it costs $138.75 if you file on time. Miss the deadline and Florida adds a $400 late fee. Keep ignoring it and the state will eventually dissolve your LLC. Filing takes about ten minutes on Sunbiz.org, so there’s no good reason to let it get that far.

When is the Florida LLC annual report due?

Between January 1 and May 1. Your first one isn’t due in the year you form the LLC. It’s due the following year. Form your LLC in October 2025 and your first report is due by May 1, 2026.

After May 1, the report still gets filed the same way. It just costs $538.75 instead of $138.75. If it’s still missing by the third Friday in September, Florida administratively dissolves the LLC.

We’d file in January or February. Nothing changes by waiting, and filing early means a busy spring can’t push you past the deadline.

What does it cost?

When you file What you pay
January 1 through May 1 $138.75
After May 1 $538.75 ($138.75 plus the $400 late fee)
After administrative dissolution Back reports and late fees, plus reinstatement fees

The late fee isn’t prorated and there’s no grace period. A report filed on May 2 costs the same as one filed in August. Florida doesn’t grant extensions or waive the fee because you forgot.

What the report asks for

Most of the form is already filled in from the state’s records. Your job is to confirm it’s still right and fix anything that isn’t:

  1. LLC name and document number (pre-filled)
  2. Principal office address
  3. Mailing address, which can be the same as the principal office
  4. Registered agent name and Florida street address
  5. Names and addresses of members or managers
  6. An electronic signature confirming the information is accurate

You can update addresses, your registered agent, your members or managers, and your email address right on the report. You can’t change the LLC’s name this way. That takes a separate amendment filing.

How to file on Sunbiz

  1. Go to Sunbiz.org, the Florida Division of Corporations site, and open the annual report filing page.
  2. Look up your LLC by its document number. Searching by name also works, but the document number avoids picking the wrong company.
  3. Start the report. Your current information loads automatically.
  4. Read every field. If your address or members changed in the past year, this is where you fix it.
  5. Pay the $138.75 by credit card or bank account, submit, and save the confirmation.

Reports are usually processed the same day or within 24 hours.

The step people skip is number 4. They click straight through to payment, and an old address or a departed member stays on the public record for another year.

What happens if you don’t file?

Nothing dramatic happens on May 2. You owe the $400 late fee and your LLC shows as delinquent, but it still exists.

The third Friday in September is the date that matters. That’s when Florida administratively dissolves LLCs that still haven’t filed. A dissolved LLC loses its active status, which can put your liability protection in question, and banks or the other side of a contract may start asking hard questions.

You can fix it through reinstatement: file the missing reports, pay the late fees, and pay the reinstatement fee. It’s doable, but a $138.75 errand has turned into a much bigger bill and some paperwork you didn’t need. File on time.

The annual report isn’t a tax return

People mix these up all the time. They’re separate obligations, and doing one doesn’t cover the other.

How to never miss it

Put two reminders in your calendar right now, one for early January and one for mid-April. Make sure the email address on file with Sunbiz is one you actually read, because the state sends its reminders there.

If you’d rather not think about it at all, IncCraft’s compliance service sends reminders 60 and 30 days before the deadline and can file the report for you.
