Florida LLC Changes: Costs and Filing Fees for Amendments

The basic Florida LLC amendment cost is $25. That’s the state fee for Articles of Amendment, and it’s the same online or by mail. Many changes cost nothing extra if you make them on your annual report instead, and the bills only climb when you add certified copies, a filing service or an attorney.

Here’s what each piece costs, and how to avoid paying for the same change twice.

Florida LLC amendment cost at a glance

Filing type State fee Processing time
Articles of Amendment $25 1-5 business days (online)
Registered agent change (standalone) $25 1-5 business days (online)
Registered agent change (with annual report) $0 Included in annual report
Annual report $138.75 Immediate (online)
Amended annual report $50 1-5 business days
Fictitious name registration (DBA) $50 1-5 business days
Name reservation $25 1-2 business days
Certificate of Status $5 1-3 business days
Certified copy $30 3-5 business days
Walk-in expedited processing $100 24 hours

What does $25 get you?

Articles of Amendment change your LLC’s Articles of Organization, the document you filed with the Florida Division of Corporations when you formed the company. That covers most substantive changes:

  • Adding or removing members
  • Switching between member-managed and manager-managed
  • Changing the business purpose
  • Updating the principal office address
  • Changing the LLC’s duration

The fee is $25 whether you file online through Sunbiz or on paper. Online filings typically process in 1-5 business days. Paper filings take 10-15 business days plus mail time. Online, you complete the amendment form and pay by credit card or electronic check.

Put every change you need into one filing. Five changes on one amendment cost $25. Five separate amendments cost $125.

How much does it cost to change your registered agent?

Either $25 or nothing, depending on timing.

If you’ve already filed this year’s annual report, you file a standalone “Statement of Change of Registered Office or Registered Agent or both for Limited Liability Company.” That costs $25.

If your annual report is coming up, you can change the agent on the report at no extra charge. The report costs its usual $138.75 either way.

So if your report is due in the next few months and nothing forces the change sooner, we’d wait and make it on the report. That saves the $25.

What does a name change cost?

A name change takes Articles of Amendment and the $25 fee. You can’t change your LLC’s name on the annual report.

Check the name on Sunbiz first. If it’s taken or too close to an existing business, the Division will reject the amendment and keep your fee.

Two related costs:

  • Fictitious name registration (DBA), $50. If you want to operate under a trade name that isn’t your official LLC name, that’s a separate registration from the name amendment.
  • Name reservation, $25 (optional). If you’ve found an available name but aren’t ready to file, you can reserve it for 120 days.

Can you pay to speed it up?

Mostly you don’t need to. Florida doesn’t charge extra to expedite most online LLC filings, and online amendments typically process within 1-5 business days anyway.

The exceptions: walk-in filings at the Division of Corporations office in Tallahassee are automatically charged a $100 expedited fee for 24-hour service, and mailed documents can’t be expedited at all. They follow the standard 10-15 business day timeline.

What do certified copies and a Certificate of Status cost?

Certified copies are $30 per document. A certified copy is an official copy stamped and certified by the Division of Corporations. Banks, lenders, other states’ filing offices and some licensing agencies ask for them. The price is $30 each whether you order one or five, but ordering them together saves time. You can request them online, by mail or in person, and online requests are processed and mailed within a few business days.

A Certificate of Status is $5. It’s sometimes called a Certificate of Good Standing, and it confirms your LLC is registered in Florida, has filed its annual reports, is current on state fees and is authorized to do business. Banks, lenders and business partners often want one. It’s dated, and some institutions want one issued within the last 30-60 days, so ask how recent it needs to be before you order. You can get it online through Sunbiz.

What do filing services and attorneys charge?

You can file any amendment yourself for the state fee alone. If you’d rather hand it off, typical prices are:

Service Typical cost
Basic filing service $100-$200 (adds about $75-$175 to the state fee)
Commercial registered agent $100-$300 per year
Full-service business formation company package (filing, registered agent, compliance monitoring, support) $300-$500+
Attorney $500-$1,500+, depending on complexity

Is it cheaper to do it yourself?

Usually, yes. Four common scenarios:

Scenario Fees Total
Simple amendment, DIY $25 amendment + $5 Certificate of Status $30
Simple amendment, filing service $25 amendment + $150 service + $5 Certificate of Status $180
Name change with DBA, DIY $25 amendment + $50 fictitious name + $30 certified copy + $5 Certificate of Status $110
Complex amendment, attorney $25 amendment + $750 attorney + $60 for two certified copies + $5 Certificate of Status $840

For a straightforward change like an address or a member, filing yourself on Sunbiz makes sense. Pay for help when the amendment raises legal questions, you’re not sure what the change does to your business, you want advice on your structure, or you’re making several changes at once and want them drafted correctly.

Which changes can go on your annual report for free?

Every Florida LLC files an annual report between January 1 and May 1. It costs $138.75, plus a $400 late fee after May 1. On that report, you can update these at no added charge:

  • Registered agent name and address
  • Principal office address
  • Mailing address
  • Member and manager names and addresses

If what you need to change is on that list and the report is due soon, use the report instead of a separate filing.

Watch the timing, though. If you file your annual report and then need to correct it, an amended annual report costs $50. Work out all your changes before you file.

What does each common change cost?

Change Cost
Add or remove members $25 (Articles of Amendment)
Update member addresses $0 on annual report, or $25 standalone
Switch member-managed to manager-managed $25 (Articles of Amendment)
Update manager names $0 on annual report, or $25 standalone
Principal office address $0 on annual report, or $25 standalone
Registered agent address $0 on annual report, or $25 standalone
Change business purpose $25 (Articles of Amendment)
Change LLC duration $25 (Articles of Amendment)
Amend operating agreement $0 (no state filing for internal documents)
Change official LLC name $25 (Articles of Amendment)
Add a fictitious name (DBA) $50
Reserve a name $25 (optional, 120 days)

How do you keep the bill down?

  1. Bundle changes into one Articles of Amendment so you pay one $25 fee.
  2. Move registered agent, address and member or manager updates onto your annual report when it’s due soon.
  3. File online. It costs the same as mail and you get confirmation right away.
  4. Order your Certificate of Status and certified copies in the same request.
  5. File simple changes yourself and save the $100-$500 a service or attorney would charge.
  6. File your annual report on time. The $400 late fee is sixteen times the cost of an amendment.

Before you file anything, write down every change you’ll need over the next few months. Most avoidable costs on this page come from filing in pieces: an amendment now, a correction to the annual report later, then a second amendment for something you forgot.

Fees listed are current as of 2026. Check the Florida Division of Corporations website at dos.fl.gov/sunbiz for the most up-to-date fee schedule.
